(Telecompaper) America Movil's offer of EUR 8 per share for an increased stake in KPN "substantially undervalues" the Dutch company, KPN said. In its first full reaction to the offer, KPN said it will seek further clarification as to America Movil's intentions. The Mexican company announced overnight plans to launch a public bid to increase its 4.8 percent stake in KPN to 28 percent. The offer of EUR 8 per share is around 24 percent higher than KPN's last share price before the announcement but well below a peak of around EUR 12 last year. KPN said its management and supervisory boards will review the offer, and in the meantime, KPN will "explore all strategic options". The Dutch operator hired Goldman Sachs and JP Morgan as financial advisors and Allen & Overy as legal counsel. Read Full Article

(Telecompaper) Japanese DRAM maker Elpida Memory has formally selected major US chipmaker Micron Technology to sponsor its turnaround, reports the Nikkei. The decision was made at a meeting of executives, including Elpida president Yukio Sakamoto, who also serves as one of the company's administrators. The administrators will likely report the decision to the Tokyo District Court later on 7 May, the paper's sources said. Micron will acquire Elpida for over JPY 200 billion and make it a wholly owned subsidiary. Including the takeover costs and future capital investment, Micron's total financial support for Elpida is expected to reach nearly JPY 300 billion. As a Micron group firm, Elpida will focus on developing and producing DRAM chips for mobile devices. If the Tokyo District Court approves Micron's sponsorship, the companies will begin working out the details of a turnaround plan, which they aim to submit to the court by 21 August.

(Telecompaper) Research In Motion is adding new management with the addition of Kristian Tear as chief operating officer and Frank Boulben as chief marketing officer. Tear comes from Sony Mobile, where he was executive VP. He previously held a variety of operational leadership positions with Ericsson in Europe, Asia and Latin America. At RIM, he will oversee all operational functions for handhelds and services, including research and development, products, global sales, manufacturing and supply chain. Boulben is the former executive VP for strategy, marketing and sales at LightSquared. Prior to that he worked as global director of commercial strategy for Vodafone Group and executive VP of Brand and Consumer Marketing for Orange Group. Read Full Article

(Telecompaper) German united services union Ver.di announced that it has found an agreement with the employers of Deutsche Telekom in their wage negotiations on 07 May. The 50,000 employees will receive a pay raise of 6.5 percent over a period of two years. The salaries will increase in three stages through 31 January 2014. Ver.di also said that negotiations with Deutsche Telekom's T- Systems unit workers over wages will continue on 15 May. The agreement still needs to be approved by the union's salary commission in a Berlin meeting on 08 May. Read Full Article

(Telecompaper) KT and Telkom have reached a preliminary agreement on the Korean operator acquiring a 20 percent stake in the South African incumbent. The two have been in talks since October 2011, and the latest agreement sees KT paying a lower price of ZAR 25.60 per Telkom share, due to the drop in share price at the South African company. This is a 9.9 percent premium on Telkom's share price the day before the announcement, but below the ZAR 36.06 first announced last year. If Telkom pays further dividends before a final agreement is reached, the price could cut by another 20 percent, it said. A final agreement depends on securing approval from the South African government, currently Telkom's biggest shareholder with a stake of 50.7 percent. Telkom would issue new shares to KT, diluting the government's stake to less than 50 percent. KT has also conditioned the deal on a satisfactory outcome of the ongoing competition investigation into Telkom, which could see the company paying fines of ZAR 3.5 billion for abuse of its dominant position. As part of the deal, the companies also plan a five-year agreement on management services and cooperation on strategic and business issues. Read Full Article
